    Default Financial review of a company

    Hi,

    Looking for someone who can research a company and provide information on a privately held company. Specific interest surrounds profitability and longevity. Google provided some information but I am a computer geek not an accountant.

    This can be a compensated task to the individual or towards Apexspeed depending on the individuals desire.

    I've spent over 35 years looking at businesses, both public and private, as an investment banker. The one constant in private companies I will warn you about is their propensity to almost always overstate their financial projections. This is not due to them being "bad people" by any stretch - I admire the vast majority of the folks I have interreacted with as I do not have the skills to do what they have done. But, they are perennially overly optimistic, constantly. Which might be what makes them successful over the long term, actually.

    My strong advice to you is to critique their forecasts extremely carefully, and do not "pay up" for the future. Rather, if they insist that they be paid for what is coming, structure a contingency payment whereby should they hit their lofty target, you agree to pay a little more at that time.

    Lastly, normalizing their financial statements can be difficult. Cousin Bob, Aunty Sue may be on the payroll at grossly inflated wages, and may be difficult (and costly) to get rid of post acquisition. Any of those types of situations need to be rectified on the seller's account pre closing.

    There are many more rabbit holes to go down on the subject. get yourself a really good accountant. And, good luck!
